A representative office is a standalone type of “office” representing the interests of the main HQ company. It doesn’t conduct commercial activities, but rather serves to promote the parent company: marketing, negotiations, etc.

Documents required for representative office registration
To establish a representative office in Azerbaijan, the following documents are required:
– Notarized application form;
– Information about the founder;
– Regulations (charter) approved by the head office establishing the branch;
– Decision of the head office on the establishment of the branch and appointment of the branch manager;
– Copy of the manager’s passport (TRP / PRP if available);
– Documents confirming the registration of the head office (charter, extract from the legal entities register, certificate of incorporation);
– Power of attorney (if the branch registration in Azerbaijan is carried out by an authorized lawyer);
– Document confirming payment of the state fee (300 AZN).
It is also important to select the appropriate activity codes for the branch.
Representative office registration process in Azerbaijan
The documents must be submitted to the Tax Service of Azerbaijan for final registration of the representative office. In most cases, the process takes 3–5 business days. After verification of the documents, the representative office receives – a certificate of state registration (Çıxarış), approved charter, Tax ID (VÖEN).
After registration, it is also necessary to:
Obtain an ASAN Imza (electronic signature) for the representative office manager;
Open a bank account with one of the local banks in Azerbaijan.
